About these terms
These Terms of Service ("Terms") are a contract between you and PostaraAI LLC, a Wyoming (USA) limited liability company at 75 E 3rd St Ste 7, Sheridan, Wyoming 82801, USA ("PostaraAI", "we", "us"). They govern your use of PostaraMail at https://postaramail.com, our website, the WordPress plugin, the installable and Android app, the API and everything else we offer under the PostaraMail name (the "Service").
By creating an account, clicking "I agree", or using the Service, you accept these Terms, our Privacy Policy, the Acceptable Use Policy, the Anti-Spam Policy, the Data Processing Addendum, the AI Use Terms and the regional terms for your country (together, the "Agreement"). If you do not agree, do not use the Service.
If you accept for a company or other organisation, you confirm that you have authority to bind it, and "you" means that organisation.
Who may use the Service
The Service is for businesses, freelancers and other professionals using it for their trade, business or profession. It is not intended for personal or household use, and you must be at least 18 years old.
You may not use the Service if you are located in, ordinarily resident in, or controlled by a person in a country or region subject to comprehensive sanctions or an embargo (currently Iran, North Korea, Cuba, Syria, and the Crimea, Donetsk and Luhansk regions), or if you appear on a government sanctions or denied-party list. We may update this list as the law changes.
You must give accurate information, keep it up to date, and tell us your real country when you register. We use it to apply the right regional terms.
Your account
You are responsible for your password and for everything done through your account and API keys. Tell us immediately at support@postaramail.com if you suspect unauthorised use. You may not share an account in a way that lets people evade our limits.
You must verify your email address. We may suspend an account that appears compromised to protect you and others.
The Service and changes to it
We may add, change or remove features, including AI features and integrations, and we may offer beta features that are provided without warranty. We will give reasonable notice of changes that significantly reduce the paid functionality you rely on.
The Service sends email through third-party delivery providers. We do not guarantee that any email will be delivered, opened, read or avoid spam folders; inbox placement depends on providers and recipients outside our control. We provide tools and best practices designed to help.
Plans, fees and billing
The Free plan has no charge. Paid plans are billed in advance, monthly or yearly, through our payment processor Stripe. Plans have limits on subscribers, emails and features, shown on our pricing page. If you exceed a limit we may block the action or ask you to upgrade.
Paid plans renew automatically until cancelled. You can cancel at any time under Billing; you keep the paid plan until the end of the period you paid for. Prices exclude taxes (such as VAT, GST or sales tax), which we add where required. We may change prices with at least 30 days' notice before your next renewal.
If a payment fails we may retry it, restrict paid features, and move the account to the Free plan. Our Refund Policy (including a 14-day money-back guarantee on your first payment) is part of these Terms.
If you provide a VAT, GST or other tax ID, you confirm it is valid and that you are acting as a business.
Your content and your contacts
You keep all rights in your content: your contact lists, emails, templates, images, brand assets and data ("Your Content"). You give us a worldwide, non-exclusive licence to host, process, copy, display and transmit Your Content only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy.
You are responsible for Your Content and for having a lawful basis and any required permission to email each person. In particular you promise that: (a) every contact has agreed to receive your emails or you otherwise have a lawful right to email them under the law that applies to them; (b) you did not buy, rent, scrape or harvest the list; (c) you will keep records of consent and give them to us if we ask; and (d) your emails comply with the laws of the places where your recipients are, including identifying you and giving a working unsubscribe.
You are the controller of your contacts' personal data and we are your processor. The Data Processing Addendum applies.
Acceptable use and anti-spam
You must follow the Acceptable Use Policy and the Anti-Spam Policy. The key rules: permission only, no illegal, deceptive or harmful content, honest sender details, and always honour unsubscribes. We automatically suppress bounced and complained addresses and may automatically suspend sending when spam complaints reach our threshold (currently three). We may suspend or terminate accounts that breach these rules, with or without notice where the risk is urgent.
AI features
The Service can draft emails and designs with third-party AI models. AI output may be inaccurate, incomplete or similar to other output. You must review everything before you send it and you are responsible for it. Nothing is sent to your contacts until you press send or switch an automation on. The AI Use Terms apply, including how your text is shared with the provider you choose.
Third-party services and software
The Service works with third parties such as Stripe, our email delivery provider, AI providers, WordPress and WooCommerce, and app stores. Their own terms apply to your use of them, and we are not responsible for them. The WordPress plugin and apps are licensed to you for use with the Service only.
Our intellectual property
The Service, its software, designs, templates, documentation and the PostaraMail name and logo belong to PostaraAI LLC and our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under this Agreement. You may use our designed email templates for your own emails. You may not copy, resell, reverse engineer or misuse the Service, or use it to build a competing product.
If you send us feedback or suggestions, we may use them without obligation to you. On some plans emails may include a small "Sent with PostaraMail" line.
Security and confidentiality
We use technical and organisational measures to protect the Service, described on our Trust page and in the Data Processing Addendum. You must keep your credentials safe and notify us of any security issue you find. We will keep Your Content confidential and use it only as this Agreement allows.
Availability and support
We work to keep the Service available but we do not promise uninterrupted or error-free operation, and there is no service level agreement unless we agree one in writing. We may carry out maintenance. Support is by email at support@postaramail.com.
Suspension and termination
You may stop using the Service at any time and delete your account in Settings. We may suspend or terminate your access if you breach this Agreement, if required by law, if your use risks harm to the Service, other customers or recipients, or if you do not pay.
When an account is deleted we delete Your Content as described in the Privacy Policy and the Data Processing Addendum. Provisions that by nature should survive (including payment obligations, intellectual property, disclaimers, limits of liability, indemnities and governing law) continue after termination. Before deleting you can export your contacts.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT EMAILS WILL BE DELIVERED, OPENED OR GENERATE SALES. WE DO NOT PROVIDE LEGAL ADVICE: OUR REGIONAL NOTES ARE GENERAL INFORMATION AND YOU REMAIN RESPONSIBLE FOR COMPLYING WITH THE LAWS THAT APPLY TO YOUR EMAILS.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, POSTARAAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR US$100 IF YOU USE ONLY THE FREE PLAN).
Nothing in this Agreement limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, fraud, or any mandatory rights you have under the law of your country.
Indemnity
You will defend and indemnify PostaraAI LLC, its officers and staff against claims, fines, losses and reasonable costs arising from Your Content, your contact lists and how you obtained them, your emails, your breach of this Agreement, or your violation of law (including anti-spam and data protection laws), except to the extent caused by our own breach. This does not apply where applicable law does not allow it.
Export controls and sanctions
You will not use or export the Service in violation of US or other applicable export control and sanctions laws, and you confirm you are not prohibited from receiving it.
Governing law and disputes
This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Before starting a claim, each party will try in good faith to resolve the dispute by email for at least 30 days.
The state and federal courts located in Wyoming have exclusive jurisdiction over disputes under this Agreement, and you consent to them. We do not require arbitration or class-action waivers.
If you are in the European Economic Area, the United Kingdom or another place whose law gives you mandatory rights (for example consumer or data protection rights, or the right to bring claims in your local courts), nothing in this Agreement removes those rights, and the regional terms for your country apply.
Changes to these terms
We may update this Agreement. For material changes we will give you notice by email or in the Service, and you will be asked to accept the new version the next time you log in. The version number and a summary of changes are on our Legal centre. If you do not accept, you may delete your account; you may not continue to use the Service.
Regional terms and order of precedence
Regional terms for your country form part of this Agreement. If they conflict with these Terms, the regional terms prevail for people and activities in that region. The Data Processing Addendum prevails over these Terms for processing of personal data.
General
This Agreement is the entire agreement about the Service and replaces earlier agreements. If a provision is unenforceable the rest continues. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it to a successor or affiliate. Neither party is liable for delay caused by events beyond its reasonable control (force majeure). There are no third-party beneficiaries. We may send notices to the email address on your account and by posting in the Service. This Agreement is written in English; translations are for convenience.
